Welcome to ConexaLabs Inc. (“ConexaLabs,” “we,” “us,” or “our”). By accessing or using our custom-engineered mobile applications, software architectures, and related backend services (collectively, the “Services”), you (“Client,” “User,” or “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Services.

1. Scope of Services

ConexaLabs Inc. provides high-performance custom mobile software architectures designed for enterprise deployment. Our applications utilize a local-first architecture—keeping data items in your device's local storage for immediate access and offline resilience—while providing synchronization features with backend services.

2. Data Privacy & Non-Monetization

Our philosophy on privacy is simple: your data belongs to you.

• No Data Monetization: ConexaLabs does not track, harvest, monetize, rent, or sell your application data, metrics, or client parameters to any third party.

• Local-First Processing: Active items are processed and kept within the device's local storage to minimize external data exposure.

• Backend Synchronization: Data synchronized with backend services is handled strictly to maintain cross-platform integrity and system alignment for your organization, not for external collection.
  

3. Software Architecture & Security Approach

ConexaLabs focuses on clean, efficient, and decentralized software architecture.

• No Unnecessary Bloat: We do not install or integrate additional, proprietary third-party data security systems or middleware. Instead, we minimize your attack surface by eliminating unnecessary cloud dependencies and relying on clean, native, local-first storage design.

• Client Responsibility: Because data is kept in local storage and synced directly to backend services, you acknowledge that maintaining the physical security of your local devices and your backend access credentials is your sole responsibility.

4. Intellectial Property & Software License

Unless otherwise specified in a separate master services agreement (MSA) or custom software contract:

• ConexaLabs grants you a limited, non-exclusive, non-transferable license to use the custom mobile applications provided to your organization.

• All trademarks, proprietary architecture frameworks, and core source code developed by ConexaLabs remain the intellectual property of ConexaLabs Inc.
  

5. Acceptable Use

You agree not to use the Services to:

• Reverse engineer, decompile, or attempt to extract the source code of our local storage or synchronization frameworks.

• Interfere with or disrupt the integrity or performance of the backend services.

• Use the applications for any unlawful or unauthorized enterprise purposes.
  

6. Limitation of Liability

To the maximum extent permitted by law, ConexaLabs Inc. provides its software "as-is" without warranties of any kind, express or implied. Because we do not control your local device hardware or your enterprise backend environment, ConexaLabs shall not be liable for any data loss, device hardware failure, or unauthorized access resulting from compromised local endpoints or client-managed servers.

7. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by updating the "Last Updated" date at the top of this document or through an in-app notification. Continued use of the Services after such changes constitutes your acceptance of the new Terms.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ConexaLabs Inc. is registered, without regard to its conflict of law principles.
